Creator Buyout Agreement

Full-Purpose Exclusive Design-Asset Buyout Agreement

This agreement applies to Owniverse design-asset buyout transactions. A buyer who pays for an order confirms that they have read, understood, and accepted this agreement; a creator who lists work for buyout agrees to sell according to these terms.

1. Rights Granted

• The buyer may use the artwork worldwide and perpetually for any lawful commercial purpose, with no restriction on product type, industry, production volume, or sales volume.
• The buyer may crop, recolor, compose, combine, format, and otherwise adapt the artwork as reasonably needed for commercial use.
• The buyer may allow affiliates to use the artwork and may provide files to design vendors, printers, and manufacturers that are bound by confidentiality and use restrictions.
• Subject to applicable law and review requirements, the buyer may use the artwork in trademark, design, packaging, and brand-visual applications.
• After the transaction is completed, the artwork is permanently removed from future sale and the seller may not resell, license, or otherwise authorize third-party commercial use.

2. Usage Limits

• The buyer may not resell, sublicense, upload to stock-asset platforms, or publicly distribute source files, templates, or digital files that have not been substantially commercialized into products or services.
• The artwork may not be used for unlawful, infringing, prohibited, fraudulent, or public-interest-harming purposes.
• The buyer may not falsify the original creation process or falsely claim to be the original creator.
• Any disclosed third-party fonts, marks, likenesses, materials, or rights restrictions remain effective.
• Owniverse does not guarantee that the artwork will pass trademark, design-right, copyright-registration, administrative, or judicial review.

“Buyout” means the buyer receives full-purpose exclusive commercial usage rights and any transferable economic rights within the scope permitted by law and actually owned or controlled by the creator. Non-transferable moral rights, such as attribution rights where applicable, do not transfer merely because of the transaction.

3. Creator Representations

• The seller represents that they have the right to sell the artwork under this agreement and have truthfully disclosed AI tools, third-party elements, prior publication, and prior licensing.
• The seller agrees to stop selling or licensing the artwork on Owniverse and any other channel after the transaction is completed.
• If a dispute arises from concealed rights defects, prior licensing, or third-party rights, the seller is responsible under platform rules and applicable law.

4. Delivery & Acceptance

• Buyout rights take effect when the order is successfully paid; Owniverse then makes the source files available to the buyer according to the order and pauses all sale entries for the artwork.
• The buyer should inspect within the platform-indicated period whether files are downloadable, openable, and consistent with the artwork description; after delivery confirmation, Owniverse settles seller proceeds and transfers the corresponding asset to the buyer library.
• The order should preserve artwork information, buyout price, rights scope, delivery-file parameters, file fingerprints, and agreement version; the order snapshot and this agreement together form the transaction record.

5. Refunds & Disputes

• If files cannot be opened, delivery clearly differs from the order, the seller lacks the right to sell, or prior licensing or third-party rights were concealed, the buyer may submit evidence through the platform dispute channel.
• Owniverse may pause settlement, delist artwork, request supplemental files, create a refund task, or take other necessary measures based on the evidence; payment-channel refunds are subject to actual channel receipts.
• After a full refund succeeds, the buyout rights for that order terminate and the buyer must stop using and delete obtained source files and copies; a refund caused by seller rights defects does not release the seller from legal responsibility.

6. Platform Role

Owniverse provides transaction, delivery, settlement, and evidence-retention services; it is not a copyright registry, trademark examiner, or judicial authority. Owniverse does not guarantee that similar content does not exist worldwide, nor that artwork will necessarily qualify for registration, trademark, design-right, copyright, administrative, or court review.

7. Agreement Evidence

• Owniverse stores the agreement version, agreement-text summary hash, and the buyer confirmation time, account, IP, and necessary device information at checkout.
• Later agreement updates do not change the agreement snapshot that applies to completed orders; if an order snapshot differs from this version, the snapshot actually saved and confirmed for that order controls.
